By accessing or using the SafePays platform and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use our services.

Description of Services

SafePays provides a comprehensive B2B fintech platform that offers the following services:

• AEPS & Micro ATM Services: Aadhaar Enabled Payment System and micro ATM transaction processing
• Domestic Money Transfer (DMT): Instant money transfer services between bank accounts
• Recharge & Bill Payment: Utility bill payments and mobile/DTH recharge services
• PAN Card Services: PAN card application and processing services
• Aadhaar Services: Aadhaar enrollment, update, and authentication services
• Payout & Wallet System: Bulk payout processing and wallet management solutions
• API Integration: White-label API solutions for integrating our services into your platform

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

User Account & Registration

To access certain features of our services, you must register for an account:

1. You agree to provide accurate, current, and complete information during registration
2. You are responsible for maintaining the confidentiality of your account credentials
3. You agree to notify us immediately of any unauthorized use of your account
4. You are responsible for all activities that occur under your account
5. We reserve the right to suspend or terminate accounts that violate these terms

You must be legally authorized to operate the business entity on whose behalf you are registering for our services.

Payment Terms & Fees

Our services are subject to applicable fees and charges:

• All fees are exclusive of applicable taxes, which will be charged as per prevailing rates
• Fees are subject to change with 30 days' prior notice to users
• Payments are due as per the agreed billing cycle (prepaid/postpaid)
• Late payments may result in suspension of services
• We reserve the right to adjust pricing based on market conditions

Refunds, if any, will be processed in accordance with our refund policy and applicable laws.

User Obligations

When using our services, you agree to:

• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose
• Not interfere with or disrupt the integrity or performance of our services
• Not attempt to gain unauthorized access to our systems or networks
• Provide accurate and complete information when required
• Cooperate with our security and compliance procedures
• Report any suspected security breaches or vulnerabilities immediately

Intellectual Property

All content, features, and functionality of our platform are owned by SafePays Private Limited:

• All trademarks, logos, and service marks displayed on our platform are our property
• You may not reproduce, distribute, or create derivative works without our express permission
• Our software, algorithms, and technical processes are protected by trade secrets
• You are granted a limited license to use our services as described in these terms
• Any feedback or suggestions you provide becomes our property

Limitation of Liability

To the maximum extent permitted by law:

• Our liability for any claims arising from these terms is limited to the amount paid by you for our services in the preceding 12 months
• We are not liable for indirect, incidental, special, or consequential damages
• We are not responsible for losses caused by third-party services or systems
• We are not liable for delays or failures caused by force majeure events
• We make no warranties regarding uninterrupted or error-free service

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

Termination

Either party may terminate these terms under the following conditions:

• We may terminate or suspend your access immediately for breach of these terms
• We may terminate services with 30 days' notice for business reasons
• You may terminate your account by providing written notice
• Upon termination, you must cease all use of our services
• Termination does not relieve you of payment obligations for services rendered

Governing Law & Dispute Resolution

These terms are governed by the laws of India:

• Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai
• Disputes will be resolved through arbitration in accordance with Indian Arbitration Act
• The language of arbitration shall be English
• Arbitration proceedings will be conducted in Mumbai

Modifications to Terms

We reserve the right to modify these terms at any time:

• Material changes will be notified via email or platform notification
• Continued use of services after changes constitutes acceptance of new terms
• We recommend reviewing these terms periodically for updates
